These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and UCallNow, LLC ("UCallNow," "we," "us," or "our"), a Virginia limited liability company, governing your access to and use of the website located at ucallnow.com (the "Website") and all services provided by UCallNow, including but not limited to lead generation, business development center (BDC) operations, appointment setting, campaign management, and the Marketplace Booster software tool (collectively, the "Services").

BY ACCESSING OR USING THE WEBSITE OR SERVICES, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OF AGE AND HAVE THE LEGAL AUTHORITY TO ENTER INTO THESE TERMS ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE WEBSITE OR SERVICES.

1. Description of Services

UCallNow provides AI-powered lead generation, lead response, and BDC services designed for automotive dealerships located within the United States. Our Services are intended to assist dealerships in converting digital leads into confirmed showroom appointments and vehicle sales. Specific service deliverables, performance metrics, and pricing shall be set forth in a separate Service Agreement or Statement of Work executed by both parties.

2. Eligibility and Account Responsibilities

You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into a binding agreement; (c) if acting on behalf of a business entity, you have the authority to bind that entity to these Terms; and (d) all information you provide to us is accurate, current, and complete. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

3. Client Obligations

In connection with your use of the Services, you agree to: (a) provide accurate and timely information necessary for the performance of the Services; (b) respond to communications from UCallNow within a reasonable timeframe; (c) comply with all applicable federal, state, and local laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and the Federal Trade Commission (FTC) guidelines; (d) refrain from using the Services for any unlawful, fraudulent, or unauthorized purpose; and (e) not interfere with or disrupt the integrity or performance of the Services.

4. Intellectual Property

All content, materials, trademarks, service marks, trade names, logos, domain names, software, code, designs, text, graphics, and other intellectual property displayed on or made available through the Website or Services (collectively, "UCallNow IP") are the exclusive property of UCallNow or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services solely for their intended purposes. No right, title, or interest in any UCallNow IP is transferred to you.

5. Payment Terms

Fees for the Services shall be as set forth in the applicable Service Agreement or Statement of Work. Unless otherwise agreed in writing: (a) all fees are quoted and payable in United States dollars; (b) payment is due upon the date specified in the applicable invoice; (c) late payments shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower; and (d) you are responsible for all applicable taxes, excluding taxes based on UCallNow's net income.

6. Term and Termination

6.1 Term. These Terms shall remain in effect until terminated by either party in accordance with this Section.

6.2 Termination for Convenience. Either party may terminate the service relationship upon thirty (30) calendar days' prior written notice to the other party, unless a different notice period is specified in the applicable Service Agreement.

6.3 Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure such breach within fifteen (15) calendar days of receiving written notice thereof; or (b) becomes insolvent, files for bankruptcy, or has a receiver appointed for its assets.

6.4 Effect of Termination. Upon termination, (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you shall pay all fees accrued through the date of termination; and (c) Sections 4, 7, 8, 9, 10, 11, and 12 shall survive termination.

7. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UCALLNOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UCALLNOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. UCALLNOW DOES NOT GUARANTEE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO ANY SPECIFIC NUMBER OF LEADS, APPOINTMENTS, SHOWROOM VISITS, OR VEHICLE SALES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UCALLNOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE WEBSITE, OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF UCALLNOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UCALLNOW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO UCALLNOW DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless UCallNow and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Website or Services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right, including any intellectual property, privacy, or publicity right.

10. Dispute Resolution and Arbitration

10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

10.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Anaheim, California. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

10.3 Class Action Waiver. YOU AND UCALLNOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

11. Miscellaneous

11.1 Entire Agreement. These Terms, together with any applicable Service Agreement or Statement of Work, constitute the entire agreement between you and UCallNow regarding the subject matter hereof and supersede all prior or contemporaneous oral or written agreements.

11.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

11.3 Waiver. The failure of UCallNow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without UCallNow's prior written consent. UCallNow may assign these Terms without restriction.

11.5 Force Majeure. UCallNow shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government action, labor disputes, or internet or telecommunications failures.

This Service Policy ("Policy") outlines the standards, commitments, procedures, and expectations governing the delivery of services by UCallNow, LLC ("UCallNow," "we," "us," or "our") to its automotive dealership clients ("Client," "you," or "your"). This Policy supplements and should be read in conjunction with our Terms of Service and any applicable Service Agreement or Statement of Work.

1. Scope of Services

UCallNow provides a comprehensive suite of lead generation and business development center (BDC) services tailored to the automotive industry, which may include, depending on the selected service plan:

• Lead Generation: Creation, management, and optimization of digital marketing campaigns designed to generate high-intent automotive leads through various channels including, but not limited to, social media advertising, search engine marketing, and Facebook Marketplace.
• Automated Lead Response: AI-powered infrastructure designed to deliver initial lead contact within approximately ten (10) seconds of lead capture.
• BDC Operations: Dedicated, senior-level BDC professionals who provide lead follow-up, appointment setting, appointment confirmation, and prospect nurturing via telephone, SMS/text message, and email.
• 365-Day Engagement: A long-term lead nurturing program designed to re-engage and reactivate dormant prospects for up to three hundred sixty-five (365) calendar days following initial contact.
• Marketplace Booster (Optional Add-On): Proprietary software enabling your dealership team to efficiently list and manage vehicle inventory on Facebook Marketplace to generate additional organic lead flow.
• Performance Reporting: Regular reporting on key performance indicators including lead volume, response times, appointment rates, and other agreed-upon metrics.

2. Service Level Commitments

2.1 Lead Response Time. Our AI infrastructure is designed to initiate contact with new leads within approximately ten (10) seconds of lead capture. This commitment is subject to system availability and factors beyond our reasonable control, such as third-party platform delays or internet service disruptions.

2.2 BDC Availability. Our AI-powered lead capture and response infrastructure operates twenty-four (24) hours per day, seven (7) days per week. Human BDC agents operate during extended business hours, the specific schedule of which shall be communicated to the Client during onboarding.

2.3 Follow-Up Protocols. Our BDC team follows structured follow-up protocols that include multiple contact attempts across various communication channels (phone, text, email) over defined time intervals, with the objective of maximizing lead engagement and appointment conversion.

3. Client Responsibilities

To ensure optimal service delivery, the Client agrees to:

• Provide timely access to all necessary dealership information, including but not limited to inventory data, dealership hours of operation, sales team contact information, and any specific qualification criteria for appointments.
• Designate a primary point of contact authorized to make decisions regarding the Services.
• Respond to UCallNow communications within a reasonable timeframe, generally no more than one (1) business day for urgent matters and two (2) business days for routine matters.
• Ensure that sales staff are available to receive and follow up on confirmed appointments generated through the Services.
• Provide timely feedback on lead quality and appointment outcomes to enable continuous optimization of campaigns and processes.

4. Quality Assurance

UCallNow maintains a quality assurance program that includes: ongoing monitoring and review of BDC agent interactions with prospects; regular training and professional development for all BDC staff; performance tracking against established key performance indicators; and periodic reviews with Clients to assess satisfaction and identify areas for improvement.

5. Data Handling and Confidentiality

All lead data, dealership information, and prospect communications are handled with strict confidentiality. UCallNow will not share Client data with competing dealerships or unauthorized third parties. Our data handling practices are governed by our Privacy Policy, which is incorporated herein by reference. UCallNow maintains commercially reasonable security measures to protect against unauthorized access to or disclosure of Client and lead data.

6. Service Modifications

UCallNow reserves the right to modify, enhance, update, or discontinue certain features or aspects of the Services at any time in order to improve performance, comply with legal requirements, or adapt to evolving industry standards. We will provide the Client with reasonable advance notice of any material changes to the Services that may affect the Client's operations.

Our published metrics and case study results reflect historical performance data and should not be construed as a guarantee of future results.
